Members of APSE’s executive committee have approved the following changes to the bylaws to address issues raised by the organization’s decision to cancel the 2020 summer convention because of the coronavirus pandemic.

RESOLVED, upon adoption of this resolution, the APSE bylaws shall be changed in the following manner:
1.    Under Section 3 (B), the last sentence of the ninth paragraph should read as follows:

For such votes, the Executive Committee shall consist of the president, vice presidents, the Associated Press representative and region chairs, as well as past presidents.

The preceding paragraph reads: The Executive Committee may conduct votes via email or other electronic means if the president determines that the subject of the vote cannot wait for a scheduled meeting. At least 10 days prior notice must be given on the APSE website. For such votes, the Executive Committee shall consist of the president, vice presidents and region chairs, as well as past presidents.

Add the following paragraph after the first paragraph of Section 3 (C):
In a year when the summer convention is canceled or not held, or the second executive committee meeting is not held during the convention, new officers will assume office beginning with the date the Executive Committee was scheduled to meet at the end of the summer convention, or on a date during the summer chosen by the Executive Committee.

At the end of the first paragraph of Section 3 (E), change the period to a comma and add the following:
… except when the summer convention is canceled or not held, or the second executive committee meeting is not held during the convention, in which case a new third vice president will assume office as outlined in the second paragraph of Section 3 (C).

The complete first paragraph reads: The third vice president is elected for a two-year term in even-numbered years only by representatives of APSE’s smallest member organizations. The third vice president assumes office beginning with the Executive Committee meeting at the end of the summer convention in even-numbered years and serves for two years, continuing until the Executive Committee meeting at the end of the convention two years hence.
